Organisational Structure and Governance

 

 

1) Members’ Assembly

Participants: RGI secretariat and all partners

Tasks: The members’ assembly appoints the management board, agrees on directions and broad strategies and identifies relevant issues and areas of intervention.

Voting rights: each partner has one vote

Meetings: one members’ assembly per annum (more if necessary)

2) Secretariat

Executive Director (ED): Antonella Battaglini

Tasks: The secretariat manages and coordinates all RGI activities and also develops and implements strategies and action plans, administers approved budgets, publicly represents the RGI, networks and conducts background briefings. It reports to the management board.

3) Management Board

Participants: 4 rotating members, 2 TSOs and 2 NGOs

Tasks: The management board represents the interests of all partners, approves work plans and related budgets, sets targets and evaluates results against set targets. It promotes and represents the RGI.

Voting rights: each member has one vote. The Executive Director participates in management board meeting. The ED has no vot

Meetings: 6 meetings per annum (more if necessary)

Organisation of the Management Board:

The board meets at least six times per annum. At least one of the meetings shall be a physical meeting, the remaining can be conducted by telephone conferences. Minutes of the board meetings are made available to all members. Decisions by the board are shared with all members.

The board decides on issues of strategic importance for RGI. The board invites all members to give their respective input before making any decision. The board makes the greatest effort to decide by consensus. If the board comes to no consensus, the board will make divergent votes transparent. However, the board may decide to execute a decision only on the basis of a consensus and return to members for advice.

The ED of the RGI is invited to take part in all board meetings and may be asked to provide background and/or a proposal for due decision by the board. The ED formally has no voting right but can be asked to exercise a vote if deemed necessary by the majority of the board members.

The board has the following functions:

  • Provide overall guidance and support for the staff in the RGI secretariat including the ED
  • Ensure that the ED can work freely and represents the interests of the RGI in all forums
  • Approve the financial balance sheet and overall annual expenditure of the RGI secretariat
  • Confirm and approve the general outreach and communication strategy with the secretariat
  • Agree with the secretariat and the ED the overall political messaging and the advocacy strategy to outside forums and stakeholders
  • Support the secretariat in fundraising and outreach
  • Informally employ all strategic staff being paid for by RGI resources
  • Provide regular contact with the ED and the secretariat, assist on positioning and support for meetings
  • The board, or individual board members may decide to assist in staffing decisions by the secretariat and the ED
  • If necessary, and in close collaboration with the secretariat and the ED, the board may decide to act as spokes-person for the RGI in specific circumstances
  • Duly inform the members and seek their input on all issues deemed important for the RGI
  • Every year, the board and the secretariat provide a summary overview of its activities to the members during the Members’ Assembly and publish a report of all activities on the RGI website
  • The board will act as an 'entity' but may decide, where necessary, to have a chairperson, and a vice-chairperson

4) Advisory Board

Participants: invited universities, research institutes, governmental organisations, relevant stakeholder (e.g. ENTSO-E, Desertec, etc.)

Tasks: The advisory board advises the secretariat and the management board.
